These Terms of Service ("Terms") govern your access to and use of the Missinglettr API platform and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Please read these Terms carefully before using the Service. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

"Service" refers to the Missinglettr API platform, including all APIs, SDKs, documentation, and related services.

  • Use the Service to distribute spam, malware, or other malicious content
  • Violate any social media platform's terms of service or policies
  • Interfere with or disrupt the Service or servers connected to the Service
  • Access the Service through automated means without prior written permission
  • Use the Service for any illegal activities or to harm others

4. Payment Terms

4.1 Subscription Plans

The Service is offered through various subscription plans. Pricing and plan features are available on our website and may be updated from time to time.

4.2 Billing

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are in USD unless otherwise specified
  • Fees are non-refundable except as required by law
  • You authorize us to charge your payment method for all fees incurred
  • Failure to pay may result in suspension or termination of your account

4.3 Taxes

All fees are exclusive of applicable taxes (including GST, HST, PST, or other sales taxes), which you are responsible for paying.

5. Content and Data

You retain all rights to content you submit through the Service. By submitting content, you grant us a limited license to process, transmit, and display your content as necessary to provide the Service.

You are solely responsible for the content you post through the Service. You represent and warrant that you have all necessary rights to post such content and that it does not violate any third-party rights or applicable laws.

6. Intellectual Property

7. Service Availability

We strive to provide reliable service but do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We reserve the right to:

  • Perform scheduled maintenance with reasonable notice
  • Suspend service for emergency maintenance or security issues

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MISSINGLETTR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Missinglettr and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Content you submit through the Service

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of any obligation to pay outstanding fees.

10.2 Termination by Us

We may suspend or terminate your account immediately if you violate these Terms or engage in conduct that we determine to be inappropriate or harmful to the Service or other users.

10.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We may delete your account data in accordance with our data retention policies.

11. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements or that it will be uninterrupted, timely, secure, or error-free.

12. Third-Party Services

The Service integrates with third-party social media platforms. Your use of these platforms through our Service is subject to their respective terms of service and privacy policies. We are not responsible for any third-party services or their content.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in British Columbia, Canada, except that either party may seek injunctive relief in court.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes acceptance of the updated Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Missinglettr regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
